What are the general offering terms?This Offering involves the sale and purchase of Promissory Notes (“Notes”) in Aspen Sage Investment Fund LLC (the “Company”), which was formed for the purpose of raising capital to engage in the business of investing in all forms of real estate, including but not limited to buying, rehabilitating and holding and/or selling residential and commercial Properties and notes on real estate Properties nationwide including U.S. territories. The Company shall also allocate some capital into securities, commodities and cryptocurrencies.

The Offering commenced on November 8, 2022, and will terminate upon the dissolution of the Company on December 31, 2033, unless the Company is dissolved earlier or date is extended; however, the Company may close the Offering at any time to any investor and may suspend the Offering or refund investors in partial or in full on a temporary basis from time to time as it deems necessary.

Aspen Sage Investment Fund LLC is pleased to offer the opportunity for Prospective Investors to purchase a Debt Interest in Company for Classes A, B, and C. Prospective Investors shall pay $25,000 per Debt Unit with a minimum requirement of 4 Debt Units. This Offering is submitted using the Regulation D 506(c) exemption. This Offering is for Accredited Investors only.

What are the Note Classes?There are four (4) classes of Notes:

Each Note requires a minimum investment of at least one hundred thousand ($100,000) dollars. After the purchase a minimum of four units, an investor may purchase a fraction of a unit.

1  Class “A” Notes – Pay eight (8%) percent simple interest calculated annually. Class “A” Notes are available only to those who invest a minimum of two hundred and fifty thousand ($250,000) dollars.
2  Class “B” Notes – Pay six (6%) percent simple interest calculated annually. Class “B” Notes are available only to those who invest a minimum of one hundred thousand ($100,000) dollars.
3  Class “C” Notes – Pay four (4%) percent simple interest calculated annually. “C” Notes are available to certain Pension Funds and Insurance companies, as well as other entities with special liquidity, diversification and a minimum number of units required for investment, at the Manager’s sole discretion.
4  Other Notes - Manager may make exceptions through addenda at its own discretion based on the amount invested regarding returns and length of time money will be committed to the Company.

What are the risk factors?Investment in Company involves numerous risks, which cannot all be forecasted, foreseen, or predicted. Some of the risks include but are not limited to: Investors shall have no management control or authority over Company; Company cannot guarantee that it will continue meeting certain regulatory exemptions; Company cannot guarantee that it will beat competitors; Company may purchase assets from interested parties such as Company Executives or parties affiliated with such; Distributions are not guaranteed; Investors may not receive a return and may even lose their initial capital, and; the Managers, Key Personnel, and/or Company Executives may work on similar projects to Company. What are the investor qualifications?Company offers Debt Units on a best-efforts basis to Accredited Investors, as defined by the Securities Exchange Commission (SEC). Any Prospective Investor that is not certain that it is Accredited, with the proper documentation to illustrate and prove its Accredited status, must make its status conspicuously clear to the Company before proceeding with this Offering.
